1. Contracting Scope and Acceptance

By accessing or using ifenpay websites, dashboards, APIs, SDKs, and related services, you agree to these Terms and any policies referenced herein, including the Privacy Policy. If you do not agree, do not use the service.

2. Definitions

"Services" means ifenpay websites, APIs, tools, documentation, and related operational infrastructure. "You" means the individual or entity using Services. "Integration" means any software/system that calls or depends on Services.

3. Service Scope

ifenpay provides payment infrastructure, API endpoints, and developer tooling. Features may be modified, deprecated, rate-limited, or discontinued at any time, including for security, compliance, operational, or commercial reasons.

4. Eligibility and Authority

You represent that you are legally capable of entering binding agreements and, if acting on behalf of an entity, authorized to bind that entity to these Terms.

5. Account and Credential Security

You are responsible for safeguarding credentials, API keys, secrets, and wallet-related material under your control. You are responsible for all actions performed through your account and integrations unless proven unauthorized access resulted solely from ifenpay security failure.

6. Acceptable Use and Prohibited Conduct

You must not misuse the services, including unlawful activity, fraud, sanctions evasion, infringement, abuse of infrastructure, security testing without authorization, or any attempt to disrupt service integrity. ifenpay may suspend or terminate access for violations or risk mitigation.

7. Compliance, Sanctions, and Export Controls

You may not use Services in violation of applicable sanctions, anti-money-laundering obligations, export controls, or other mandatory legal restrictions. ifenpay may block or terminate access where compliance risk is identified.

8. Fees, Billing, and Taxes

Where applicable, you agree to pay published or contracted fees. Unless explicitly stated otherwise, fees are non-refundable. You are responsible for taxes, duties, and reporting obligations applicable to your use.

9. Blockchain and Crypto Risk Disclosure

Digital asset transactions may involve volatility, network congestion, irreversible transfers, and third-party dependency risk (node providers, infrastructure, wallets). You are responsible for validating addresses, amounts, and transaction intent before submission.

10. No Financial, Legal, or Tax Advice

ifenpay does not provide investment, tax, accounting, legal, or fiduciary advice. Any documentation, examples, or support content is informational only.

11. Intellectual Property

All service marks, content, and platform materials remain property of ifenpay or its licensors, except where explicitly designated as third-party or open-source materials with their own license terms.

12. Third-Party Services

Services may depend on third-party systems. ifenpay is not responsible for outages, policy changes, pricing changes, or failures from third-party providers beyond its direct control.

13. Service Availability and Force Majeure

ifenpay does not guarantee uninterrupted availability. Scheduled maintenance, emergency changes, incidents, and events outside reasonable control (including infrastructure outages, cyberattacks, natural disasters, government action, or third-party disruptions) may impact service.

14. Disclaimer of Warranties

To the maximum extent permitted by law, services are provided on an "as is" and "as available" basis without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted/error-free operation.

15. Limitation of Liability

To the maximum extent permitted by law, ifenpay and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or business opportunity. Aggregate liability is limited to amounts paid by you to ifenpay for the relevant service during the 12 months preceding the event giving rise to liability, if any.

16. Indemnification

You agree to defend, indemnify, and hold harmless ifenpay from claims, losses, liabilities, and expenses arising from your use of the services, your integrations, your end users, or your breach of these Terms, except to the extent caused by ifenpay gross negligence or willful misconduct.

17. Audit Signals and Evidence

You acknowledge that platform logs and system records may be used as operational evidence for security analysis, abuse prevention, dispute handling, and compliance obligations, subject to applicable law.

18. Suspension and Termination

ifenpay may suspend or terminate access immediately for security threats, legal requirements, policy violations, abuse, non-payment, or risk exposure. You may stop using services at any time, subject to outstanding obligations.

19. Governing Law and Disputes

These Terms are governed by applicable law as determined by ifenpay’s contracting entity or separate written agreement. If no separate agreement exists, disputes should first be raised through support channels for good-faith resolution before formal proceedings.

20. Assignment, Severability, and Waiver

ifenpay may assign these Terms as part of corporate restructuring, merger, sale, or operational transfer. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.

21. Claims Window

To the maximum extent permitted by law, claims related to Services must be brought within one year after the claim arose or such claim is permanently barred.

22. Changes to Terms

ifenpay may update these Terms at any time. Material updates are effective upon posting unless otherwise stated. Continued use after an update constitutes acceptance of the revised Terms.
